State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
TILT Holdings Inc. (the “Company”) is unable to timely file with the Securities and Exchange Commission (“SEC”) its Annual Report on Form 10-K for the year ended December 31, 2024 (the “Annual Report”) without unreasonable effort or expense.
The Company currently expects to file the Annual Report within the fifteen-day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended. The Company expects that the financial statements in the Annual Report will be substantially consistent with those financial statements reported in the Company’s press release dated March 19, 2025.
